On October 16, 2012, Murphy Oil Corporation (Murphy) announced its plan to spin off its US downstream business into a separate, independent company, Murphy Oil USA, Inc. (Murphy USA). After the proposed spin-off, Murphy will become an independent Exploration and Production (E&P) company with activities primarily focused in the US, Canada and Malaysia. The newly formed Murphy USA will continue to be a low-cost fuel supplier focusing on the retail marketing of petroleum products and convenience merchandise through its large network of retail gasoline stations. The better allocation of resources and capital, enhanced focus on specific business segments and better value to shareholders have been the driving factors for Murphy spinning off its downstream business. The spin-off by Murphy follows the recent trend of Marathon Oil Corporation and ConocoPhillips, which span off their downstream businesses in 2011 and early 2012 respectively to segregate relatively their low-margin refining and retail (downstream) businesses from the high margin upstream business.
